4.本協議一經簽署，在本協議有效期內，被委託方不得提出解除協議，在此之後，被委託方如要解除協議，必須提前至少90天通知委託方。
5.中國國際電視總公司依照與MTV asia ldc簽署的合作協議，在中國大陸地區獨家代理MTVa頻道的收費發行業務。
6.本協議及其附加條款，是委託方和被委託方共同達成的具有法律效力的約定，一經正式簽署，雙方都應嚴格執行。
7.被委託方保證（在接收、傳送及播映MTVa頻道之前）取得必要的權利、執照和批准等。
8.雙方如無異議，本協議到期自動續延。

1. truster may cancelany part of MTVa’s programmingor inform the trustee to take measures to prevent the distribution of concerned programming, if truster believes such programming will infringe the rights and benefits of others.
2. truster reserves all rights not specifically granted to the trustee concerning MTVa.
3. the trustee agrees that the truster shall not be responsible for the losses due tothe violations of the agreement by the benefits of the truster shall not be infringed.
4. once executed, this agreement shall not be terminated by the trustee during the term. thereafter, the trustee must inform the truster at least 90 days earlier, provided the trustee needs to terminate this agreement.
5. in accordance with the contract between citv and MTVa, citv shall bethe exclusive agent responsible for the distribution of MTVa’s programming and the collection of relevant fees.
6. this agreement and the additional terms shall be binding on both the truster and the trustee once it is executed.

一.為確保用户在協議起始日能接收到所需的節目，轉播授權協議書籤定後，簽約方應在三天之內把解碼器款匯至授權方指定開户銀行、帳户，授權方在收到解碼器款或見到匯款憑證的傳真件後，應在一週內將解碼器送至當地的管理部門。
二.收費標準及付費方式:
三、四星級飯店: 0.50元/天/房間
五星級飯店: 0.59元/天/房間
使領館、涉外公寓/國際商業公司: 0.59元/天/房間
（以上籤約用户如不足100個終端將按100個終端計算）解碼器價格: 4,000.00元/台
三.付費期限: 按年度預付收視費
四.收視費匯款應在協議起始後的一週之內按所籤協議的付款週期將收視費匯至指定銀行帳户，匯款時請註明espn節目收視費。

附 加 條 款：
1.被 委 託 方 應 通 過 閉 路 電 視 系 統 在 指 定 收 視 點 播 放 完 整 的 ngc節 目， 包 括 但 不 限 於
節 目 原 有 的 廣 告 和 推 銷 材 料、 版 權 告 協 助 和 制 作 人 名 單， 不 得 變 動 或 修 改， 但 可 以 為 保 證 節 目 符 合 中 國 有 關 法 律 和 法 規 的 要 求 而 進 行 必 要 的 刪 除。ngc對 其 節 目 以 及 其 中 選 用 的 全 部 節 目 保 留 全 部 權 利， 包 括 以 任 何 每 天 在 全 世 界 使 用 這 些 節 目 的 權 利。 被 委 託 方 不 得 在 指 定 收 視 點 以 外 的 任 何 地 方 以 非 閉 路 電 視 方 式 播 放 或 允 許 他 方 播 放 ngc 節 目。
2.對 於 ngc 節 目 發 生 的 延 誤、先 佔 或 其 他 故 障， 如 果 是 由 ngc 和/ 或 委 託 方 無 法 控 制
的 原 因 所 致 的， 不 由 ngc和 委 託 方 負 責。被 委 託 方 違 反 本 合 同 的， 由 此 產 生 的 任 何 索 賠、 責 任、 費 用 和 支 出 一 概 由 被 委 託 方 負 責， 並 應 使 ngc和 委 託 方 不 受 任 何 損 害。
c.v.可 在 提 前 三 十 天 書 面 通 知 被 委 託 方 後 隨 時 終 止 本 合 同 書。如 果 被 委 託 方
違 反 本 合 同 書，並 且 在 收 到 違 約 通 知( 通 知 應 明 確 支 出 違 約 之 處) 後 七 天 內 未 作 出 補 救， 則 ngc 可 在 提 前 至 少 七 天 向 其 發 出 書 面 通 知 後 隨 時 終 止 本 合 同 書。ngc 與 委 託 方 之 間 的 協 議 期 滿 或 終 止 時， 本 轉 播 授 權 協 議 書 即 自 動 終 止。
4.被 委 託 方 籤 署 本 合 同 書 後，應 即 支 付 上 述 規 定 款 項，不 得 扣 除、預 提 或 充 抵 任何
金 額。因 本 合 同 書 或 播 放 ngc節 目 而 被 中 國 政 府 或 其 任 何 部 門 徵 收 的 税 費，以 及 其 他 有 關 費 用，一 概 由 被 委 託 方 負 責 支 付。
5.被 委 託 方 未 經 ngc 和 委 託 方 事 先 書 面 同 意 不 得 轉 讓 其 在 本 合 同 書 項 下 的 任 何 權
利 或 義 務。
6.本 合 同 書 載 入 雙 方 就 本 合 同 書 議 題 達 成 的 全 部 協 議，未 經 雙 方 籤 署 書 面 文 件，不
得 修 改。

1. authorized party shall exhibit ngc’s program service known as “ngc”via the closed
circuit television system at the authorized premises, in its entirety, including without limitation, all advertising and promotion material, copyright notices, credits and billings, as and when transmitted by ngc, without alteration or amendment other than deletions made to ensure that ngc complies with all applicable prc laws and regulations. ngc retains all rights for use in all media. authorized party shall not exhibit, or authorize any other party to exhibit ngc anywhere other than at the authorized premises or via any media other than closed circuit television.
and authorizing party shall not be responsible for any delays, preemptions or other
failure toprovide ngc where such delays, preemptions or failures are due to any cause(s) beyond the control of ngc and/or authorizing party. authorized party shall indemnify and hold ngc and authorizing party harmless against any claims, liabilities, costs and expenses arising out of any breach by authorized party of this agreement. may terminate this agreement, effective at any time, by giving authorized party 30

第四篇：衞星電視安裝協議書
衞星電視安裝協議書
甲方：_______________________________________

經甲乙雙方友好協商，甲方決定將所屬卧龍公寓衞星電視接收系統工程（以下簡稱“該工程”）承包給乙方進行，現就相關事項約定如下：
一、工程內容與要求
1、甲乙雙方約定，由乙方負責在甲方所屬的卧龍公寓安裝衞星電視接收系統和相應的客房房間有線電視網絡接入系統，一併負責該工程的設計、設備選型、採購、安裝調試、維修保養，並負責代甲方按國家相關規定向政府主管部門辦理接收衞星電視的合法手續。
2、雙方約定該工程完成後能夠接收以下衞星電視節目：

現上述節目均使用亞洲3s衞星 c波段轉發。乙方應確認上述節目的接收是不需要另付其他收視費用的，但如在該工程完成後屬於衞星電視節目源提供方調整的除外。
3、該工程應用於甲方所屬卧龍公寓客房房間，乙方應保證完成該工程後卧龍公寓客房房間電視終端能夠有效的接收到上述電視節目，並同時可以接收現有的閉路電視節目（終端設備技術條件達不到要求的除外）。終端收視標準應達到國家相關規範要求。甲方有權選擇按自主目測終端接收質量或按國家相關標準為工程驗收標準之一。
4、該工程中乙方所採用的設備另附清單作為協議附件，乙方應保證按清單要求配置和施工，如因其他原因需要更改設備型號的，需要事先徵得甲方同意，並保證替用設備性能和價值不低於約定型號的設備。
5、乙方應於本協議簽定後3日內開工，並保證在10個工作日內完工通過驗收並交付甲方使用。
二、費用與結算
1、甲方採取包乾價方式將該工程承包給乙方，總包乾價為元。
2、以上包乾價包含第一條所述所有約定內容，乙方應保證全部達到要求。其中以達到甲方實際使用需求為第一條件，如有因乙方設計和設備選型失誤使該工程達不到甲方實際使用要求，造成需要重新增加設備而增加的工程造價甲方不予承擔；如甲方在施工過程中提出增加本協議約定的範圍以外的功能要求，由雙方另行協商需要追加的造價及相關事宜，簽定本協議的補充協議。
3、該工程完工後，由甲方按第一條所述標準組織驗收，甲方確認合格後在_______期限內付給乙方工程款元，其餘元留作質量保證金。乙方按要求履行質量保證義務至質量
保證期滿後，甲方負責全額返還質量保證金給乙方。
4、工程質量達不到雙方約定要求，在整改期間發生的所有費用均由乙方負責，甲方並保留扣罰乙方延誤工期罰金的權利，每延誤一天扣罰工程款總額的%。
三、工程質量保證
1、該工程質量保證期為年，從工程竣工交付使用之日起計算。乙方負責在約定的質量保證期內免費對該工程的設備進行定期的維修和保養，常規維保每月應當不少於一次。其中在工程竣工交付使用之日起3個月內乙方負責免費更換有故障和存在故障隱患的設備。
2、乙方應在接到甲方報修電話後分鍾內趕到現場維修，維修中儘量採用最快速度的途徑恢復設備正常使用，包括採用備件臨時整體替換，乙方應儘量滿足此要求，不得以維修為由延誤甲方使用衞星電視系統。雙方約定，接到報修後超過小時的維修仍不能恢復即為乙方違約，甲方可以採用任何措施包括自行採購全新配件用於維修，其間所有發生的費用均由乙方承擔。
3、乙方不能按約定要求履行質量維保義務的，甲方有權選擇第三方進行維保，其間發生的所有費用均由乙方承擔。
4、質量保證期間的維修和保養所更換的配件應為原品牌同型號產品或在價值性能上與原件相當。維修後系統整體狀況亦應達到竣工驗收時的90%以上標準。
5、甲方認定乙方為本協議標的質量保證的唯一責任方，甲方不另就該工程採用的單項設備器件等與其生產商和中間供應商聯繫質量保修等事宜。
6、質量保證期內，由於雷擊、電壓波動等不可抗力產生的設備故障屬於質量保證義務。乙方不得以任何理由拒絕按上述條款承擔責任。但如屬於甲方未按照設備規程操作產生的故障，乙方只負責修理，需要另收取實際發生的元件費用。
四、其他約定
1、乙方在該工程施工期間應到甲方委託的物業管理公司辦理相關進場施工手續，無條件接受物業管理人員的監管，執行物業管理公司的相關規定。如因違反本條造成工期延誤與甲方無關。
2、乙方在施工中應嚴格執行相關安全規程，施工中的安全由乙方自行負責。甲方不對因該工程施工產生的直接和間接安全責任事故負任何連帶責任。
3、雙方約定，乙方還應當保證該工程可以滿足甲方二期工程擴展使用衞星電視信號的要求，在工程竣工時乙方應當向甲方提交與此相關的説明資料。此項作為該工程竣工驗收的條件之一。
4、本協議未盡事宜，由甲乙雙方另行協商解決。協商不成的，任何一方均可向荊州市仲裁委員會申請仲裁，或向人民法院提起訴訟。

6. 中國國際電視總公司依照與美國特納國際公司簽署的合作協議,在中國大陸地區獨家代理cnni頻道的收費發行業務。無論由於何種原因使得這種代理權利和責任終止,都不影響本協議的繼續有效,本協議所規定的授權方的權利和責任交由美國特納國際公司自然繼承。
7. 本協議及其附加條款,是授權方和被授權方共同達成的具有法律效力的約定,一經正式簽署,雙方都應嚴格執行。

6. according to the contract between china int’l tv corp (cits) and turner international (ti)，cits acts as ti’s sole agent in theterritory of china and have the sole right to sellthat certain programming service produced by cnn known as “cnn international”. thecontract shall still be effective if cits stops being ti’s agent, ti shall take over the rights and liabilities of licensor.
7. the contract, including any attachments hereto. whenfully excuted by parties shall constitute a legally binding agreement between licensor and licensee. the parties agreeto negociateingoodfaithandexecutethecontractstrictly.

一.為 確 保 用 户 在 協 議 起 始 日 能 接 收 到 所 需 的 節 目，轉 播 授 權 協 議 書 籤 訂 後， 籤 約 方 應 在 三 天 之 內 把 解 碼 器 款 匯 至 授 權 方 指 定 的 開 户 銀 行、 帳 户，授 權 方 在 收 到 解 碼 器 款 或 見 到 付 款 憑 證 的 傳 真 件 後， 應 在 一 周 內 將 解 碼 器 送 至 當 地 的 管 理 部 門。
二.解 碼 器 價 格：人 民 幣4,000元
三 節 目 單 價：0.75 元 / 天. 房 間
涉 外 酒 店 最 低 年 收 視 費 為 rmb41,500 元
使 領 館 每 年 rmb 24,900 元
四.收 視 費 匯 款 應 在 協 議 起 始 後 的 十 日 之 內 按所 籤 協 議 的 付 款 周 期 將 收 視 費 匯 至 指 定 銀行 帳 户， 用 户 若 以 人 民 幣 支 付， 應 按 匯 款 當日 美 元 賣 出 價 折 算 人 民 幣。 匯 款 時 請 注 明cnn 節 目 收 視 費。
